EMPLOYEE PURCHASE PROGRAMME (EPP)
TERMS OF SERVICE

These Terms of Service ("EPP Terms") apply to any purchase made under
the Employee Purchase Programme ("EPP") operated by Challenger Direct+
Pte Ltd ("we", "us", "Challenger Direct+"), and should be read together
with our Return and Refund Policy, Shipping Policy, and Privacy Policy
(collectively, the "General Policies"). Where there is a conflict
between these EPP Terms and the General Policies, these EPP Terms shall
govern in respect of EPP purchases specifically. Where we state
different or additional terms for a specific product, promotion, or
campaign under the EPP ("Campaign Terms"), those Campaign Terms shall
prevail over these EPP Terms to the extent of any conflict, but only in
respect of the specific product, promotion, or campaign to which they
apply.

1. WHAT IS THE EPP
===============================================================

1.1  The EPP is a special purchase scheme offered to employees of
     organisations that have an active partnership agreement with
     Challenger Direct+ ("eligible partner organisations"), giving
     eligible employees access to preferential pricing on selected
     products.

2. DEFINITIONS
===============================================================

In these EPP Terms, unless the context otherwise requires:

     "Agreement" means these EPP Terms, together with the General
     Policies (to the extent applicable) and any applicable Campaign
     Terms.

     "Amount Paid" means the total amount actually paid by an eligible
     employee for a product under the EPP, after all applicable EPP
     pricing, discounts, and discount codes have been applied, as
     further described in Section 8.1.

     "Business Day" means any day other than a Saturday, Sunday, or
     public holiday in Singapore.

     "Campaign" means a specific, time-limited product, promotion, or
     offer made available under the EPP.

     "Campaign Terms" means any additional or different terms stated
     for a specific Campaign, as referred to in the introductory
     paragraph above and in Sections 4.4 and 5.2.

     "EPP" means the Employee Purchase Programme operated by Challenger
     Direct+, as described in Section 1.

     "Eligible Partner Organisation" means an organisation that has an
     active partnership agreement with Challenger Direct+ under which
     its employees may participate in the EPP.

     "General Policies" has the meaning given in the introductory
     paragraph above.

     "Immediate Family" means an eligible employee's spouse, parents,
     children, and siblings.

     "Order" means a purchase made by an eligible employee under the
     EPP.

     "Site" means our website(s) and any online platform through which
     EPP purchases may be made.

     "We", "us", "our", and "Challenger Direct+" mean Challenger
     Direct+ Pte Ltd.

     "You" and "your" mean the eligible employee using, or registered
     under, the EPP.

3. ELIGIBILITY
===============================================================

3.1  The EPP is available only to current, confirmed employees of an
     eligible partner organisation — that is, employees who have
     successfully completed any applicable probationary period — as
     verified by us or our designated partner. Employees who are on
     probation, or engaged as interns or short-term contractors, are
     not eligible unless the partner organisation's agreement with us
     expressly extends eligibility to such employees.

3.2  Eligibility is primarily verified through self-registration using
     your registered company email address, as set out in Section 4.
     We may, at our discretion, request further proof of employment
     (for example, a staff pass or employment verification letter)
     where a company email address alone is insufficient to confirm
     eligibility or confirmed employment status.

3.3  We reserve the right to verify eligibility at any time and to
     decline, cancel, or reverse any purchase where eligibility cannot
     be confirmed, or is later found to have been misrepresented.

4. REGISTRATION AND VERIFICATION
===============================================================

4.1  Eligible employees may self-register for EPP access using their
     registered company email address (that is, an email address at
     the official domain of an eligible partner organisation).
     Registration is completed once you verify ownership of that email
     address, for example by clicking a confirmation link we send to
     it.

4.2  We reserve the right to determine whether an email domain belongs
     to an eligible partner organisation, and to decline or revoke
     registration where a domain is shared, generic, personal, or
     otherwise cannot reasonably be relied upon to confirm employment.

4.3  Your EPP account is personal to the individual who registered it
     and is tied to the company email address used at sign-up. It must
     not be shared with, or used on behalf of, any other individual.

4.4  We may set a validity period for EPP registration, or require
     periodic re-verification of your company email address, to
     confirm continued eligibility, unless otherwise specified in the
     Campaign Terms for a particular Campaign.

5. PURCHASE LIMITS
===============================================================

5.1  There is no fixed cap on the value or quantity of purchases an
     eligible employee may make under the EPP, provided that all such
     purchases are for the personal use of the eligible employee (or
     their Immediate Family) and are not for commercial resale, bulk
     acquisition, or on-selling. See Section 10 (Non-Transferability
     and Misuse).

5.2  Notwithstanding Section 5.1, we may set a specific quantity or
     value limit for a particular product, product category, or
     Campaign, as stated in the Campaign Terms at the time of the
     offer — including where necessary to ensure fair access among
     eligible employees, to manage limited stock, or to prevent bulk
     or commercial resale.

6. PRICING AND PAYMENT
===============================================================

6.1  EPP pricing is exclusive to the programme and may not be combined
     with any other discount, voucher, promotion, or offer, unless
     expressly stated otherwise.

6.2  All EPP prices are inclusive of GST where applicable, and are
     subject to change or withdrawal without notice, as EPP pricing is
     tied to time-limited arrangements with partner organisations.

6.3  Full payment by cash or card is required at the point of sale for
     every EPP purchase. The EPP does not offer instalment, deferred,
     or payroll-deduction payment arrangements; where a third-party
     instalment or "buy now, pay later" provider is separately made
     available at checkout, that arrangement is between you and the
     third-party provider and is governed by their own terms, not
     these EPP Terms.

7. PRODUCT AVAILABILITY, PRICING ERRORS AND EVENTS BEYOND OUR CONTROL
===============================================================

7.1  Supplier cancellation or inability to supply. All Orders placed
     under the EPP are subject to availability and to confirmation
     from the relevant brand, principal, or supplier. Where a brand or
     supplier cancels, withdraws, or becomes unable to fulfil an Order
     after it has been accepted — including due to stock shortage,
     discontinuation, or withdrawal of the EPP pricing arrangement for
     that product — we will notify you as soon as reasonably
     practicable and may cancel the affected Order, in whole or in
     part, at any time before delivery or collection. See our Return
     and Refund Policy for how refunds are processed in this situation.
     This clause does not apply, and we will not accept payment for an
     Order, where we already know at the time of accepting your Order
     that we will be unable to supply the goods within a reasonable
     time.

7.2  Pricing errors. If a product is listed, quoted, or charged at an
     incorrect EPP price due to a genuine error (whether typographical,
     technical, or an error in pricing information supplied to us by a
     brand or supplier), we reserve the right to correct the error and,
     at our discretion, either (a) contact you to confirm whether you
     wish to proceed at the correct price before completing the Order,
     or (b) cancel the affected Order and refund you as described in
     our Return and Refund Policy. This applies whether the error is
     discovered before or after payment is processed, and whether or
     not an order confirmation has been sent. We will not charge you a
     corrected, higher price without your express agreement.

7.3  Sudden price increases. EPP pricing depends on arrangements
     between us and partner brands or suppliers, which may change
     without notice. Where the cost or price of a product increases
     after we have accepted your Order (i.e. after payment has been
     taken and an order confirmation issued) but before delivery or
     collection, that increase will not be passed on to you — the
     price charged at the point of sale stands. Where a price increase
     occurs before your Order has been accepted, we may withdraw the
     affected EPP price and, if you have already paid, offer you the
     choice to proceed at the new price or receive a refund as
     described in our Return and Refund Policy.

7.4  Events beyond our reasonable control. Neither we nor any partner
     brand or supplier will be liable for delay or failure to perform
     our obligations under the EPP where caused by events reasonably
     beyond our control (e.g. natural disasters, pandemics, courier or
     logistics disruption, supply chain failure). Where such an event
     continues for more than 60 days, either party may cancel the
     affected Order, with a refund for anything not delivered or
     collected as described in our Return and Refund Policy.

7.5  Nothing in this Section 7 limits or overrides your statutory
     rights under the Consumer Protection (Fair Trading) Act 2003,
     including its Lemon Law provisions.

8. LIMITATION OF LIABILITY
===============================================================

This Section sets out how claims relating to an EPP Order are valued
and handled. It works alongside, and does not reduce, your rights
under our Return and Refund Policy or the Consumer Protection (Fair
Trading) Act 2003.

8.1  Subject to Clause 8.3, our total liability to you in connection
     with any Order — whether arising from a refund, price reduction,
     replacement cost, damages, or any other claim relating to that
     Order — shall not, in aggregate, exceed the Amount Paid. For the
     avoidance of doubt, the Amount Paid excludes the product's
     manufacturer's recommended retail price (MSRP), any advertised or
     promotional price prior to the application of a discount code, or
     any value ascribed to the product other than what you actually
     paid.

8.2  We are not liable to you for any indirect, consequential, or
     special loss — including loss of profits, loss of data, loss of
     opportunity, loss of time, inconvenience, distress, or the value
     of time or costs spent by you in raising, pursuing, or resolving
     a claim or dispute — arising from or in connection with an Order.

8.3  Nothing in this Section limits or excludes our liability for
     death or personal injury caused by our negligence, for fraud or
     fraudulent misrepresentation, or for any other liability that
     cannot lawfully be limited or excluded — including your rights
     under the Consumer Protection (Fair Trading) Act 2003 (Lemon
     Law), which remain unaffected.

8.4  Except where a court or tribunal of competent jurisdiction orders
     otherwise, each party shall bear its own costs (including the
     value of its own time) in connection with the investigation,
     negotiation, or resolution of any dispute arising under these EPP
     Terms.

8.5  We will assess every claim relating to an EPP Order on its merits
     and in good faith. That said, we are not obliged to accede to, or
     compensate, any demand, claim, or request that (a) is not
     supported by reasonable evidence of the loss, defect, or breach
     claimed, (b) falls outside the remedies expressly available under
     these EPP Terms, the General Policies, or the Consumer Protection
     (Fair Trading) Act 2003, or (c) we reasonably consider to be
     frivolous, vexatious, speculative, or made without reasonable
     grounds. Declining a claim under this Clause 8.5 does not affect
     your right to pursue a genuine claim through the Small Claims
     Tribunals, the Consumers Association of Singapore (CASE), or the
     courts, as set out in Section 15 (Governing Law). See our Return

9. DELIVERY AND COLLECTION
===============================================================

9.1  Our Shipping Policy applies to EPP purchases, unless a specific
     collection window, venue, or process is stated in the Campaign
     Terms for a particular EPP Campaign.

10. NON-TRANSFERABILITY AND MISUSE
===============================================================

10.1 EPP purchases are intended for the personal use of the eligible
     employee (or their Immediate Family) and must not be resold for
     commercial gain.

10.2 Where we reasonably believe the EPP has been misused — including
     through fraudulent employment claims, use of an ineligible or
     misrepresented email domain, account-sharing, or resale — we will
     give you a reasonable opportunity to explain the circumstances
     before we cancel an order, revoke EPP access, or recover the
     value of any discount granted, except where we reasonably
     consider that immediate action is necessary, such as in cases of
     suspected fraud.

11. CESSATION OF EMPLOYMENT
===============================================================

11.1 Eligibility under the EPP is tied to your continued, confirmed
     employment with an eligible partner organisation. Once you cease
     to be an employee of an eligible partner organisation — whether
     by resignation, termination, or otherwise — you will no longer be
     eligible to make further purchases under the EPP, and we may
     deactivate your EPP registration accordingly.

11.2 As full payment is required at the point of sale for every EPP
     purchase (Section 6.3), a change in your employment status does
     not affect any purchase you have already completed, and no
     outstanding balance, refund, or adjustment arises solely from
     that change.

12. CHANGES TO OR WITHDRAWAL OF THE EPP
===============================================================

12.1 We may modify, suspend, or terminate the EPP, or any partner
     organisation's participation in it, at any time, without
     liability, except in respect of orders already confirmed prior to
     such change.

13. CONFIDENTIALITY
===============================================================

13.1 EPP pricing and offers are intended solely for eligible employees
     of the relevant partner organisation and must not be shared
     publicly or with individuals who are not eligible under Section
     3.

14. PERSONAL DATA
===============================================================

14.1 Information collected to verify your eligibility (such as your
     employer name and work email) is used solely for that purpose, in
     accordance with the Personal Data Protection Act 2012 and our
     Privacy Policy.

15. GOVERNING LAW
===============================================================

15.1 These EPP Terms are governed by the laws of the Republic of
     Singapore. Nothing in these EPP Terms limits or overrides any
     right you have under the Consumer Protection (Fair Trading) Act
     2003, or any other statutory right that cannot lawfully be
     excluded; where there is a conflict, your statutory rights
     prevail.

15.2 Subject to Clause 15.1, disputes arising from these EPP Terms are
     generally subject to the non-exclusive jurisdiction of the courts
     of Singapore, without prejudice to any right you may have to
     bring an eligible claim before the Small Claims Tribunals or to
     seek assistance from the Consumers Association of Singapore
     (CASE).
